A. Foreword

With the continuous evolution of denim manufacturing in terms of technology, wash processes, and raw materials, our quality standards must also increase. Consequently, to better serve our customers and suppliers, we need to further standardize our quality control system and operational procedures. These specifications are a set of standards that define our quality guidelines, tolerances, working methods, and their applicable penalties or bonuses. Please note that these specifications are subject to periodic revisions or changes to keep pace with the evolution of our quality system.

B. Customer General Specifications

1. Product Development Protocols

• All changes to production styles made during the development period must be properly recorded in the final Technical Data Sheet, which will be used as the production guide.
• The customer bears full responsibility for any changes made to the project that do not appear in the final Technical Packs for production.
• Any changes made during development that are not included in the Technical Packs and are only discussed via phone or email will be executed to the best of our ability, but without any guarantees.
• All fitting adjustments, critical seam modifications, or special wash/distressing/vintage processes that alter the style must be clearly specified in the Technical Packs.

2. Product Production and Quality Control

Factory Note: All batching procedures follow standard General Specifications guidelines.

• All raw materials (e.g., denim fabrics) and accessories (e.g., hardware, leather patches) required for production are provided and quality-controlled by us, ensuring they meet the sample standards confirmed by both parties.
• The customer accepts a production defect margin of up to 5% (non-serious defects) that are not detected during the final quality control.
• If products with non-serious defects exceed the 5% tolerance limit during the final quality control, these items can be sent to the customer, subject to their confirmation, with a 30% discount on the unit price.
• The customer has 7 days to file a claim or complaint regarding production defects. This period begins on the day the order is delivered to the customer's address.
• Direct bulk productions (without a physical sample sent to the customer for confirmation) are considered 100% approved. We do not accept claims on items or accessories approved solely via pictures or digital mock-ups when the customer has not requested a physical sample.

3. Payments

• All new customers producing with us for the first time must pay 100% of the first production cost before production begins. For subsequent orders exceeding €15,000, the standard payment term is a 50% deposit before production and the remaining 50% balance before shipping.
• For OEM/Private Label productions, payments must always be made 100% in advance of production, unless a sample is requested (see the 'Samples' section).
• All shipping costs (for bulk production, samples, or accessories/raw materials) must be paid in full prior to dispatch.

4. Shipping

• All shipping responsibilities and risks are borne by the customer. Since we do not have a dedicated transportation department, any shipments arranged with our assistance are no longer our responsibility once collected by the carrier.
• Shipments or collections arranged directly by the customer are their sole responsibility. We are not liable for any related costs, losses, or customs holds. It is the customer's responsibility to resolve any issues arising from such shipments or collections.

5. Samples & Development

All prototyping costs are governed by our master General Specifications outline.

• All samples are charged at 2x their bulk production price.
• Any samples made by us that are not ultimately confirmed for bulk production will be billed for the development labor hours plus the sample price.
• OEM/Private Label products do not include sample production by default. If the customer requests a sample, the sample cost is 5x the quoted price for that style.
• Sample prices are always provided as estimates based on a minimum bulk order of 200 pieces. We reserve the right to adjust bulk production prices if there are changes in the costs of raw materials, accessories, lava, or dyeing.

6. Lead Times

• The lead time for sample production is 1 para 2 semanas.
• The lead time for final bulk production is 2 para 5 semanas.
• All lead times mentioned above will commence as soon as all production details are confirmed, any customer-provided items (e.g., custom brand labels) are received, and applicable payments are made.
• All lead times mentioned above are standard, subject to occasional changes resulting from high workflow capacity on the production lines.
• Any modifications to the styles during production require our confirmation, and the lead times will be reset starting from the date of approval.

7. Legal Jurisdiction

Any legal disputes or issues that may arise between the customer and us fall under the exclusive jurisdiction of the competent People's Courts in Zhongshan, Província de Guangdong, China.
