TERMS AND CONDITIONS OF PRODUCTION

A. Foreword With the continuous evolution of denim manufacturing in terms of technology, wash processes, and raw materials, our quality standards must also increase. Folglich, to better serve our customers and suppliers, we need to further standardize our quality control system and operational procedures. These specifications define our quality guidelines, tolerances, working methods, and their applicable penalties or bonuses. These specifications are subject to periodic revisions or changes to keep pace with the evolution of our quality system.

B. Specifications Directed to the Customer

1. Product Development

  • All changes to production styles during development must be properly recorded in the final Technical Data Sheet, which serves as the production guide.
  • The customer bears full responsibility for any project changes that do not appear in the final Technical Packs for production.
  • Changes discussed only via phone or email that are not included in the Technical Packs will be executed to the best of our ability, but without guarantees.
  • All fitting adjustments, critical seam modifications, or special wash/distressing/vintage processes must be clearly specified in the Technical Packs.

2. Product Production and Quality Control

  • All raw materials (z.B., denim fabrics) and accessories (z.B., Hardware, Lederflicken) required for production are provided and quality-controlled by us, ensuring they meet the sample standards confirmed by both parties.
  • The customer accepts a production defect margin of up to 5% (non-serious defects) that are not detected during final quality control.
  • If products with non-serious defects exceed the 5% tolerance limit, these items can be sent to the customer, subject to their confirmation, with a 30% discount on the unit price.
  • The customer has 7 days from the delivery date to file a claim regarding production defects.
  • Direct bulk productions (without a physical sample confirmed by the customer) are considered 100% approved. We do not accept claims on items approved solely via pictures or digital mock-ups when a physical sample was not requested.

3. Payments

  • New customers must pay 100% of the first production cost before work begins. Subsequent orders exceeding €15,000 require a 50% deposit before production and a 50% balance before shipping.
  • For OEM/Private Label productions, payments must be made 100% in advance, unless a sample is requested.
  • All shipping costs (for bulk production, samples, or accessories) must be paid in full prior to dispatch.

4. Versand

  • All shipping responsibilities and risks are borne by the customer. Any shipments arranged with our assistance are no longer our responsibility once collected by the carrier.
  • Shipments or collections arranged directly by the customer are their sole responsibility. We are not liable for any related costs, losses, or customs holds.

5. Samples

  • All samples are charged at 2x their bulk production price.
  • Unconfirmed samples will be billed for development labor hours plus the sample price.
  • OEM/Private Label sample costs are 5x the quoted bulk price.
  • Sample prices are estimates based on a minimum order of 200 Stücke. We reserve the right to adjust prices if material, accessory, waschen, or dyeing costs change.

6. Lead Times

  • Sample lead time: 1 Zu 2 Wochen.
  • Bulk production lead time: 2 Zu 5 Wochen.
  • Lead times commence once production details are confirmed, all customer-provided items are received, and applicable payments are made.
  • Lead times are subject to occasional changes due to high production workflow. Any modifications to styles during production require our confirmation, and lead times will reset from the approval date.

7. Legal Jurisdiction

Any legal disputes between the customer and us fall under the exclusive jurisdiction of the competent People's Courts in Zhongshan, Provinz Guangdong, China.

C. Fade-Out Garment Dye & Washing Process Specifications

  • External Aging Nature: This is an external aging process. Color intensity inside the garment will be deeper than the exterior, though this difference diminishes near edges.
  • Pre-dyed Garments: This process can be applied to previously dyed pieces, but we assume no responsibility for tone variations occurring after washing.
  • Process Sensitivity: Aging is a delicate process requiring study of the interaction between dyeing, Abschluss, and corrosion techniques.
  • Laboratory Limitations: Laboratory sample tests cannot perfectly replicate bulk production conditions.

2. GARMENT PREPARATION STANDARDS (MANDATORY)

To prevent loose threads, structural damage, or internal staining, all garments must be prepared according to these specifications before entering the dye house:

  • Ribbons & Belts: Must be secured in mesh bags (preferably PES).
